Terms and Conditions

Meridian is operated by Rithik Sudhakar, an individual proprietor based in Chennai, Tamil Nadu, India. By using this Service, you enter into a legally binding agreement with Rithik Sudhakar (hereinafter "Meridian", "we", "us", or "our").

1. Acceptance of Terms and Conditions

By accessing or using Meridian at go-meridian.com (the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy. These Terms constitute a legally valid and binding agreement under the Information Technology Act, 2000 (India) and its associated rules.

If you do not agree to these Terms, you must immediately cease use of the Service. Continued use of the Service following any modification to these Terms constitutes acceptance of the modified Terms. We will notify you of material changes by email or in-app notice and require your explicit re-acceptance where required by law.

2. Description of Service

Meridian is a web-based study rhythm and productivity application that enables users to track energy levels, log study sessions, manage tasks, and visualize consistency patterns over time. The Service is provided on an "as-is" basis and is intended solely as a productivity tool.

Meridian is not a medical device, mental health service, or clinical application. Nothing in this Service constitutes medical, psychological, academic, or professional advice. Users should not rely solely on this Service for decisions affecting their health or academic outcomes.

3. Eligibility and Account Registration

3.1 Age Requirements. You must be at least 18 years of age to use this Service without parental consent, in compliance with the Digital Personal Data Protection Act, 2023 (India). Users between the ages of 13 and 17 may use the Service only with verifiable parental or guardian consent, which must be obtained prior to registration. If you are under 13 years of age, you may not use this Service under any circumstances.

3.2 Account Responsibility. You are responsible for: (a) maintaining the confidentiality of your login credentials; (b) all activities occurring under your account; (c) notifying us immediately at rithikbuilds@gmail.com of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

3.3 Accurate Information. You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy.

4. Subscription Plans and Payment

4.1 Free Tier. Meridian offers a free tier providing access to core features including energy check-ins, basic session logging, and rhythm visualization at no charge.

4.2 Paid Subscriptions. Meridian Pro is available at USD $9.00 per month or USD $75.00 per year. All prices are displayed exclusive of applicable taxes. Applicable taxes will be calculated and collected by our payment processor at checkout.

4.3 Payment Processing. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. You may contact Paddle directly for billing inquiries at paddle.com/support. Meridian does not store or have access to your payment card information.

4.4 Auto-Renewal. Subscriptions automatically renew at the end of each billing period at the then-current price unless cancelled before the renewal date. You will receive advance notice of renewal as required by applicable law.

4.5 Cancellation. You may cancel your subscription at any time through your account settings or via the Paddle customer portal link included in your receipt. Cancellation takes effect at the end of the current billing period; you retain Pro access until that date. No cancellation fees apply.

4.6 Pricing Changes. We reserve the right to modify pricing with at least 30 days' prior notice. Your continued use after the effective date of a price change constitutes acceptance.

5. Refunds

Please refer to our Refund Policy at go-meridian.com/refund for complete details. In summary: (a) a full refund is available within 14 days of initial purchase or most recent renewal upon request; (b) refunds are available at any time if the Service is materially deficient or does not function as described; (c) EU and UK consumers have a 14-day right of withdrawal under applicable consumer protection law. All refunds are processed by Paddle.com.

6. Acceptable Use

6.1 You agree not to: (a) use the Service for any unlawful purpose or in violation of these Terms; (b) attempt to gain unauthorized access to any portion of the Service or its related systems; (c) introduce malicious code, viruses, or any other harmful software; (d) use automated tools to scrape, crawl, or extract data from the Service; (e) impersonate another person or misrepresent your affiliation with any entity; (f) engage in any activity that disrupts or interferes with the Service or the experience of other users.

6.2 We reserve the right to suspend or terminate accounts that violate this policy without prior notice.

7. Intellectual Property

7.1 Meridian's Rights. The Service and all its contents, including but not limited to software code, design, text, graphics, logos, and the compilation thereof, are owned by or licensed to Rithik Sudhakar and are protected by applicable intellectual property laws including the Copyright Act, 1957 (India).

7.2 Limited License. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes in accordance with these Terms.

7.3 Your Data. You retain full ownership of the personal data you input into the Service, including session logs, energy records, and task information. You grant us a limited license to store, process, and display this data solely for the purpose of providing the Service to you.

8. Disclaimers

8.1 Service Availability. The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee uninterrupted, timely, secure, or error-free operation of the Service.

8.2 No Professional Advice. Content and features of the Service do not constitute medical, psychological, educational, or professional advice of any kind. You should seek qualified professional advice for decisions in those domains.

8.3 Consumer Rights Preserved. Nothing in this Section limits or excludes any statutory rights you may have under the Consumer Protection Act, 2019 (India) or other applicable mandatory consumer protection legislation that cannot be waived by contract.

9. Limitation of Liability

9.1 To the maximum extent permitted by applicable law, Meridian's total aggregate liability to you for all claims arising from or relating to these Terms or the Service shall not exceed the amounts actually paid by you to Meridian in the twelve (12) months immediately preceding the event giving rise to the claim, or INR 1,000 (whichever is greater).

9.2 In no event shall Meridian be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, however caused and whether in contract, tort, negligence, or otherwise.

9.3 Nothing in these Terms excludes or limits liability for: (a) fraud or fraudulent misrepresentation; (b) gross negligence or willful misconduct; (c) death or personal injury; (d) any liability that cannot be excluded under applicable law including the Consumer Protection Act, 2019.

10. Termination

10.1 By You. You may terminate your account at any time by using the account deletion feature in Settings > Account, or by contacting us at rithikbuilds@gmail.com. Upon deletion, your personal data will be permanently removed within 30 days in accordance with our Privacy Policy.

10.2 By Us. We reserve the right to suspend or terminate your access to the Service with or without notice for: (a) violation of these Terms; (b) fraudulent, abusive, or illegal activity; (c) non-payment of applicable fees.

10.3 Effect of Termination. Upon termination, your license to use the Service ends immediately. Provisions that by their nature should survive termination shall survive, including Sections 7, 9, 11, and 12.

11. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India, without prejudice to any statutory rights that cannot be waived under applicable law, including your right to approach a Consumer Disputes Redressal Forum at your place of residence under the Consumer Protection Act, 2019.

This Service is operated from India. By using Meridian, you acknowledge that your data may be processed in accordance with Indian data protection laws including the Digital Personal Data Protection Act, 2023.

12. Grievance Redressal

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and the Consumer Protection (E-Commerce) Rules, 2020, the following person has been designated as the Grievance Officer:

We will acknowledge your grievance within 48 hours and resolve it within one calendar month of receipt. If your complaint is not resolved to your satisfaction within this period, you may approach the appropriate Consumer Disputes Redressal Forum or the Data Protection Board of India upon its establishment.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide at least 15 days' prior notice of material changes by email to your registered address and/or in-app notification. Your continued use of the Service after the effective date of any modification constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.

14. General Provisions

14.1 Severability. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

14.2 Entire Agreement. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Meridian with respect to the Service and supersede all prior agreements and understandings.

14.3 No Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.

14.4 Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights to any successor in interest.
